This TRACKER PURCHASE AGREEMENT (this “Agreement”) is made and
entered into as of this [●] day of [●], 20[●] (the “Effective Date”), by and between [AES SOLAR PROJECT COMPANY], a [Delaware limited liability company] (“Buyer”), and [SELLER], a [STATE][CORPORATION][LIMITED LIABILITY COMPANY] (“Seller”). Each entity is sometimes individually referred to herein as a “Party” and the entities are sometimes collectively referred to herein as the “Parties.”
RECITALS WHEREAS, Seller carries on the business of manufacturing and selling [type of
equipment] and related equipment for use in solar photovoltaic power generation plants.
WHEREAS, Subject to the terms and conditions set forth herein, Seller desires to sell,
and Buyer desires to purchase, the quantity and type of equipment described herein (the “Goods”) from Seller.
NOW, THEREFORE, in consideration of the sums to be paid to Seller by Buyer and of
the covenants and agreements set forth herein, the Parties agree as follows:
AGREEMENT 1.
DEFINITIONS AND RULES OF INTERPRETATION
(a) Definitions. The definitions and rules of interpretation in this Section apply in
this Agreement.
“AAA” has the meaning set forth in Section 19. “Agreement” has the meaning set forth in the preamble. “Arbitration Panel” has the meaning set forth in Section 19. “Buyer” has the meaning set forth in the preamble.
“Delay Liquidated Damages” has the meaning set forth in Section 4(d). “Delivery Date” has the meaning set forth in Section 4(a). “Delivery Point” has the meaning set forth in Section 4(a). “Dispute” has the meaning set forth in Section 19. “Dispute Notice” has the meaning set forth in Section 19. “Effective Date” is the date defined as such in the preamble. “Force Majeure” has the meaning set forth in Section 16. “Goods” has the meaning set forth in the Recitals.

“Extension of Time” has the meaning set forth in Section 4(c). “Intellectual Property Rights” means all copyright, design rights, trade marks, patents
and other intellectual property rights of a similar nature, whether or not registered, subsisting anywhere in the world.
“Notice to Proceed” means a notice issued by Buyer instructing Seller to commence
delivery of the Goods under this Agreement.
“Party” has the meaning set forth in the preamble.
“Performance Guarantees” means the performance guarantees set out in Exhibit 1. “Preventive Maintenance Services” has the meaning set forth in Section 9(a). “Rules” has the meaning set forth in Section 19. “Seller” has the meaning set forth in the preamble.
“Shipping Documentation” means a copy of the shipping insurance policy and all
information required to clear a shipment of Goods without delay through customs in the jurisdiction in which the Delivery Point is located, including: (i) a copy of the packing slip; (ii) commercial invoice; (iii) bill of lading; (iv) certificate of origin; and (v) certificate of compliance with regulations applicable in the jurisdiction in which the Delivery Point is located.
“Specification” means the Goods specifications set out in Exhibit 2. “Term” has the meaning set forth in Section 15. “Warranty Period” has the meaning set forth in Section 8(a). (b) Exhibits. This Agreement includes the Exhibits annexed hereto and any reference in this Agreement to an “Exhibit” by letter designation or title shall mean one of the Exhibits identified in the table of contents. Each Exhibit attached hereto is incorporated herein in its entirety by this reference.
(c)
Interpretation. (i) Terms defined in a given number, tense or form shall have the
corresponding meaning when used in this Agreement with initial capitals in another number, tense or form. The meaning assigned to each term defined herein shall be equally applicable to both the singular and the plural forms of such term and vice versa, and words denoting either gender shall include both genders as the context requires. Where a word or phrase is defined herein, each of its other grammatical forms shall have a corresponding meaning.
(ii) The terms such as “hereof,” “herein,” “hereto,” “hereinafter” and other
terms of like import refer to this Agreement taken as a whole.
